These Agent Listing and Referral Terms and Conditions ("Agreement") govern the relationship between Shared Space Hub FZ-LLC ("Platform," "us," "we," or "our") and the authorized real estate agent ("Agent" or "You") utilizing the Platform’s website, https://www.sharedspacehub.com/ (the "Service"), for property listing and marketing purposes.
By registering an account, listing a property, or otherwise using the Service, the Agent agrees to be bound by all terms and conditions of this Agreement.
1. Definitions and Acceptance
Platform: www.sharedspacehub.com and its associated operating entity.
Agent: The natural or legal person utilizing the Service to list properties.
Leads: Potential buyers or tenants introduced to the Agent by the Platform.
Primary Commission: The standard commission paid to the Agent by the property owner, buyer, or tenant for a closed transaction.
Service: The Platform's website and marketing channels used to list and promote properties.
2. Purpose of the Platform and Services
2.1. Services: The Provider grants the Agent a non-exclusive license to upload and maintain property listings on the Provider’s website, www.sharedspacehub.com, subject to the terms herein.
2.2. Listing Limit: The Agent is permitted to have a maximum of ten (10) active listings on the website at any given time.
2.3. Initial Free Trial:
- Trial Period: The Agent shall be granted a ten (10) calendar day free trial period (the "Trial Period"), commencing on the date the Agent successfully registers and uploads their first listing ("Trial Start Date").
- Trial Terms: During the Trial Period, the Agent shall have full access to the Services, subject to all other terms and obligations of this Agreement, including the Listing Limit and compliance requirements (Section 3).
- Conversion: Upon the expiration of the Trial Period, the Agent’s subscription will automatically convert to the chosen paid plan (Monthly or Annual) unless the Agent provides written notice of cancellation via contact@sharedspacehub.com before the Trial Period ends.
2.4. Paid Subscription Fees:
2.4.1. Monthly Subscription: Two Hundred Fifty UAE Dirhams (AED 250) per calendar month.
2.4.2. Annual Subscription: Two Thousand Five Hundred UAE Dirhams (AED 2,500) per year.
2.4.3. Value Added Tax (VAT): All fees mentioned in this Section 2.4 are exclusive of UAE Value Added Tax (VAT). VAT at the prevailing rate (currently 5%) shall be added to the invoice and is payable by the Agent.
2.4.4. Payment Due Date & Auto-Renewal:
- The first subscription fee is due immediately upon the automatic conversion from the Free Trial Period, or upon the effective start date of any renewed or re-started subscription.
- Auto-Renewal: Unless terminated in writing in accordance with Section 5.2, the subscription will automatically renew for subsequent periods of the same duration (Monthly or Annual) at the then-current rate. The Agent’s stored payment method will be charged on the first day of each new cycle.
2.4.5. Non-Payment: Failure to process payment on the due date will result in an immediate suspension of the Service and the hiding of all active listings until the account is settled in full.
2.5. Commission-Sharing Arrangement ("Commission Partners")
2.5.1. Eligibility: This exemption applies exclusively to Agents who have executed a separate Commission Split Agreement (Annex A) or a platform-approved Form A/B prior to listing.
2.5.2. Performance-Based Grace Period: Commission Partners shall receive a subscription fee waiver for a period of ninety (90) calendar days starting from the date of their first listing (the "Grace Period").
- Automatic Reversion: If no commissionable transaction is recorded and paid to the Provider within the Grace Period, the Agent’s account shall automatically convert to a Paid Subscription as per the rates in Section 2.4.
2.5.3. Conversion to Paid Subscription: * Success Metric: If the Commission Partner successfully closes a transaction (Sale or Lease) and pays the Provider the agreed-upon commission split (as defined in Annex A) within the Grace Period, the subscription fee waiver shall be extended for an additional ninety (90) days.
2.5.4. Mandatory Disclosure & Reporting: The Agent is legally obligated to notify the Provider in writing within forty-eight (48) hours of a "Lead" signing a Memorandum of Understanding (MOU), Sale Agreement, or Tenancy Contract.
2.5.5. Audit Rights: The Provider reserves the right to request copies of the "Trakheesi" closing records or signed contracts for any listing marked as "Sold" or "Expired" to verify commission obligations.
- Immediate termination of the Agent’s account.
- Liability for the full Commission amount plus a penalty fee of five thousand (5,000) UAE Dirhams.
- Legal action in the competent courts of Ras Al Khaimah.
2.5.6. Material Breach: Failure to report a successful transaction originating from a Platform Lead, or attempting to circumvent the commission-sharing arrangement, shall result in:
3. Agent Roles, Licensing, and Compliance
3.1. Agent Warranties and Compliance:
- Licensing: The Agent warrants that it is a duly licensed real estate brokerage in the UAE and that all properties listed are legally available for lease, sale, or other specified use.
- Mandatory Permits: The Agent must ensure that every single listing uploaded to the website has the required advertising permit/approval number (e.g., Trakheesi Permit in Dubai) obtained from the relevant regulatory authority before or immediately upon publication.
- Accuracy: The Agent warrants that all Listing Content, including descriptions, prices, square footage, and images, is accurate, truthful, and non-misleading, adhering to the highest professional standards and UAE consumer protection laws.
3.2. Definition of Listing Content: "Listing Content" means all text, data, images, videos, floor plans, geospatial coordinates, and all other intellectual property related to a property listing submitted by the Agent to the Provider's platform.
3.3. License and Data Usage (Core Business Rights):
- The Agent grants the Provider a non-exclusive, perpetual, worldwide, royalty-free license to use, store, reproduce, publicly display, and distribute the Listing Content on the Provider’s platform and through its affiliated marketing channels.
- The Agent explicitly agrees that the Provider may use the Listing Content and the related Agent performance data (e.g., listing duration, inquiry rates) for the purpose of generating insights, market analysis, and internal advisory tools, including:
- Space Assessment & Optimization: Analyzing listing data to improve the Provider's service offerings.
- Pricing Strategy: Using listing data for market-driven benchmarking and developing optimal pricing models for the Provider and its clients.
- Market Analysis: Creating anonymized, aggregated, or derivative works for publication, marketing, or commercial use, provided such use does not directly reveal the identity of a specific Agent or confidential client details without explicit consent.
3.4. Content Standards and Removal Rights:
- The Provider reserves the right, but not the obligation, to review, reject, or immediately remove any Listing Content that, in the Provider's sole discretion:
- Fails to comply with any UAE law or regulation, including advertising and licensing requirements.
- Violates the rights of any third party (e.g., copyright infringement on photos).
- Is duplicated, expired, or deemed "stale" or inaccurate.
- Violates the website's focus on maximizing returns on property (e.g., listings deemed low-quality or irrelevant to the platform's mission).
4. Indemnification
4.1. Indemnity: The Agent shall defend, indemnify, and hold harmless the Provider and its affiliates, directors, and employees from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or in connection with:
- Any breach by the Agent of its warranties or obligations under Section 3 (Listing Content, Data Usage, and Compliance).
Any claim that the Listing Content is misleading, inaccurate, or violates the intellectual property or regulatory rights of a third party or government authority.
5. Terms, Termination and Refunds
5.1. Term: This Agreement commences on the Effective Date and continues for the selected subscription period (Monthly or Annual), automatically renewing unless terminated.
5.2. Termination: Either Party may terminate this Agreement by providing thirty (30) days' written notice to the other Party prior to the next renewal date.
5.3. Termination for Cause: The Provider may terminate this Agreement immediately upon written notice if the Agent breaches any material provision, including non-payment of fees or non-compliance with UAE regulatory requirements (Section 3).
5.4. Refunds: Fees for the Annual Subscription are non-refundable. No refunds will be issued for partial months of service.
6. Governing Law and Jurisdiction
6.1. Governing Law: This Agreement shall be governed by and construed in accordance with the Federal Laws of the United Arab Emirates and the local laws of the Emirate where the Provider is licensed, Ras Al Khaimah.
6.2. Jurisdiction: Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the competent courts in the Emirate of Ras Al Khaimah.
